The following promotion is
intended for viewing in the United States only (except in Puerto Rico) and
shall only be construed and evaluated according to United States law. Do not proceed in this site if you are

and complete the on-line entry form to be entered for a chance to win the Grand
Prize including one (1) $2,500 Marshalls Gift Card, flight to Los Angeles for
you and a friend, a 2-night stay in a LA hotel, a day of shopping and lunch
with a stylist, one (1) $500 Marshalls Gift Card for your friend and dinner for
you and your friend or for a chance to win one of two (2) $500 Marshalls Gift
Cards. Information required on the entry form is as follows: First Name, Last
Name and Email address. By entering this contest, you agree to receive email
news from Marshalls. You can opt out at any time. The sweepstakes is open
between 12:01:01 am EDT October 20, 2008 and 11:59:00 p.m. EDT December 31, 2008.
Entries must be complete to be eligible. No more than one entry per email
address. Entries become the property of the Sponsor.

Eligibility: The sweepstakes is open to legal residents of the U.S.
who are at least 18 years of age at the time of entry. Employees of Marshalls,
its parent company, and their respective affiliates, agencies, OgilvyAction,
and members of their immediate families are not eligible. Entrants agree to the
release of their e-mail information to OgilvyAction for winner notification
purposes, only; otherwise, please review the Sites privacy policy for more
information on how we use any personal data we collect from you. Void in Puerto
Rico, and where prohibited by law or regulation. All federal, state and local laws
and regulations apply.

Drawing: Winner will be selected on or around January 14, 2009
in a random drawing conducted from among all eligible entries received, by OgilvyAction,
an independent judging organization whose decisions in all matters relating to
this promotion are final.
Potential prize winner will be notified by e-mail to the address
provided during entry, with follow-up documentation; including an affidavit of
eligibility and liability/publicity release; sent by regular mail. Potential
winner response to their e-mail notifications must be received within 7 days of
receipt, or be disqualified. The follow-up documentation must be completed,
notarized, returned, and received by OgilvyAction, within 7 days of the date e-mailed
to the potential winner. If the completed documentation is not received within
those 7 days, an alternate winner will be selected in a random drawing
conducted from among all eligible entries. If prize notification is not responded to within 7 days of
notification or any prize is returned as undeliverable, prize will be forfeited
and awarded to an alternate. Entering an incorrect or incomplete e-mail address
in the registration process, or failing to meet the eligibility requirements
above, will result in sweepstakes disqualification. By accepting prize, winner
grants Sponsor the right to use his/her name, likeness and biographical
information in any and all media for advertising/promotional purposes. Odds of winning depend upon the number
of eligible entries received.

Prize: One (1) Grand Prizes: $2,500 Marshalls
Gift Card, Flight to Los Angeles for winner and a friend, 2-nights stay in a LA
hotel, a day of shopping and lunch with a stylist, one (1) $500 Marshalls Gift
Card for the friend and dinner for you and your friend. Dinner will be awarded
as a $300 gift certificate. The gift card can not be used for alcohol. Transportation
will be provided to and from the airport and hotel. Trip must be taken by
6/30/09 or prize will be forfeited in full. Two (2) Second Prizes: $500
Marshalls Gift Cards. Grand prize fulfillment is subject to availability and
blackout periods may apply. Grand prize value is approximate and may vary
depending on winnerÕs choice of location, airfare fluctuation and dates of
travel. Winner and travel companion must travel together and all necessary
travel documents and requirements will be the sole responsibility of the winner
and travel companion. Minor winner or minor companion must be accompanied by a
parent or legal guardian. If prize becomes unavailable, Sweepstakes Sponsor may
award a substitute prize of equal value solely at Sweepstakes SponsorÕs
discretion. All federal, state, provincial and local taxes and any expenses of
a personal nature, including shopping expenses, which are not explicitly stated
in these rules as being included in the prize, are sole responsibility of the
Winner. All meals, beverages, gratuities, taxes, ground transportation and all
other expenses not specified herein, are the responsibility of the Winner.
Total approximate retail value of Grand Prizes is $7,000. Total approximate retail
value of all prizes is $8,000. Taxes on prizes are the sole responsibility of the
winner.

Limitation of
Liability: Sponsor and judging
organization are not responsible for late, lost, stolen, misdirected, damaged,
incomplete, or illegible entries; or entries that are lost due to computer,
Internet, or electronic malfunction. Sponsor reserves the right to cancel or
modify sweepstakes and award the prize through and alternate means if fraud or
technical failure compromises the integrity of the sweepstakes, as determined
by sponsor in its sole discretion. Entrants agree that the sponsor, its
promotion partners, related companies, agencies, and their respective employees
or officers shall not be liable for injury, losses, damages, or costs of any
kind resulting from participation in this sweepstakes or acceptance of or use
or misuse of a prize or parts thereof, including all risks of travel. By
entering, participants agree to be bound by these Official Rules. In the event
of a dispute regarding the identity of the person submitting an electronic
entry, the entry will be deemed to be submitted by the person in whose name the
